TERMS OF USE

1. INTRODUCTION AND ACCEPTANCE OF TERMS

These Terms of Use (“Terms”) constitute a legally binding agreement between you (“you,” “User”) and ArtJobMarket.com (“Platform,” “we,” “us,” or “our”), governing your access to and use of the ArtJobMarket.com website, platform, and related services (collectively, the “Services”).

By accessing, browsing, registering for, or using the Services in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as any policies, guidelines, or supplemental terms incorporated by reference, including but not limited to the Privacy Policy and any Seller or Buyer policies posted on the Platform.

If you do not agree to these Terms, you must not access or use the Services.

2. PLATFORM ROLE AND NO AGENCY

2.1 Neutral Marketplace Only
The Platform operates solely as a neutral online marketplace that enables independent third-party sellers (“Sellers”) to offer AI-related knowledge, services, and intellectual products to buyers (“Buyers”).

2.2 No Employment, Agency, or Partnership
ArtJobMarket.com is not:

a seller or buyer of any product or service,
an employer, employee, contractor, agent, joint venturer, or partner of any User,
a professional advisor (legal, technical, financial, or otherwise).

All transactions are conducted directly between Buyers and Sellers, and the Platform bears no responsibility for the performance, quality, legality, or outcome of any transaction.

3. ELIGIBILITY AND ACCOUNTS

3.1 Eligibility
You must be at least 18 years old and have full legal capacity to enter into binding contracts.

3.2 Account Responsibility
You are responsible for:

maintaining the confidentiality of your account credentials,
all activities conducted through your account,
ensuring the accuracy and completeness of your account information.

4. SELLER TERMS (DETAILED AND STANDALONE)

4.1 Seller Status and Independence

Sellers are independent third parties. Nothing in these Terms creates any employment, agency, or fiduciary relationship between the Platform and any Seller.

4.2 Intellectual Property Ownership

(a) Seller Ownership
Sellers retain all right, title, and interest in and to their products, including AI prompts, datasets, code, models, documentation, training materials, consulting deliverables, and other content (“Seller Content”), except for the limited licenses granted herein.

(b) Platform License
Sellers grant the Platform a worldwide, non-exclusive, royalty-free, sublicensable license to host, display, distribute, market, and make Seller Content available solely for operating, promoting, and improving the Services.

4.3 Licenses Granted to Buyers

Sellers are solely responsible for defining the license terms applicable to their Seller Content, subject to Platform minimum requirements. In the absence of expressly stated license terms, the Buyer receives a limited, non-exclusive, non-transferable, non-sublicensable license for internal use only.

4.4 AI-Specific Representations and Compliance

Sellers represent and warrant that:

Seller Content does not infringe any third-party intellectual property rights;
datasets were lawfully obtained and processed in compliance with applicable data protection and AI laws (including, where applicable, GDPR, AI Act, or similar regulations);
Seller Content does not contain unlawfully scraped, confidential, personal, or proprietary data unless explicitly disclosed and legally permitted;
any claims regarding performance, accuracy, or suitability of AI-related products are truthful and not misleading.

4.5 Prohibited Seller Conduct

Sellers shall not:

upload malware, backdoors, or malicious code;
misrepresent authorship, licensing rights, or capabilities;
sell content that facilitates illegal activity, surveillance, discrimination, or rights violations;
circumvent Platform fees or payment systems;
solicit Buyers outside the Platform to avoid fees.

4.6 Pricing and Payments

(a) Pricing Authority
Sellers set their own prices, subject to Platform rules.

(b) Fees
The Platform may charge listing fees, transaction fees, or commissions, as disclosed separately.

(c) Payment Processing
Payments are processed via third-party payment providers. The Platform does not hold funds as escrow unless expressly stated.

4.7 Taxes

Sellers are solely responsible for:

determining applicable taxes (VAT, GST, sales tax, income tax, withholding),
collecting and remitting such taxes,
complying with all tax reporting obligations.

The Platform makes no representations regarding tax treatment.

4.8 Suspension and Termination of Sellers

The Platform reserves the right, at its sole discretion, to:

suspend or terminate Seller accounts,
remove listings,
withhold payouts as permitted by law,

where a Seller violates these Terms, applicable law, or poses legal, reputational, or operational risk to the Platform.

5. BUYER TERMS (DETAILED)

5.1 License Scope and Use

Buyers acquire only the license expressly granted by the Seller. Unless otherwise stated, Buyers may not:

resell, sublicense, or redistribute Seller Content;
use Seller Content to train competing AI models;
remove copyright or attribution notices.

5.2 AI Risk Acknowledgment

Buyers acknowledge that:

AI-related products may produce inaccurate, incomplete, biased, or harmful outputs;
AI outputs must be independently validated before use;
AI products are not a substitute for professional advice.

5.3 Usage Restrictions

Buyers shall not use Seller Content:

in violation of law or regulation;
to develop weapons, surveillance systems, or discriminatory technologies;
in high-risk or safety-critical systems without independent testing and safeguards.

5.4 Refunds and Disputes

(a) Refund Policy
Refund eligibility, if any, is determined by the Seller’s stated refund policy.

(b) Dispute Resolution
The Platform may, but is not obligated to, facilitate dispute resolution. The Platform is not liable for transaction outcomes.

6. AI-SPECIFIC DISCLAIMERS

6.1 No Warranty of AI Performance
The Platform makes no representations or warranties regarding:

accuracy, reliability, or completeness of AI-related content;
regulatory compliance of AI outputs;
fitness for any particular purpose.

6.2 No Responsibility for AI Outputs
The Platform is not responsible for any decisions, actions, or damages arising from the use of AI-generated outputs.

7. DISCLAIMER OF WARRANTIES

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PLATFORM SHALL NOT BE LIABLE FOR:

INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES;
LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES;
CONTENT OR CONDUCT OF USERS.

THE PLATFORM’S TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID TO THE PLATFORM BY THE USER IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless the Platform from any claims, damages, liabilities, costs, and expenses arising out of:

your use of the Services,
your violation of these Terms,
your infringement of third-party rights.

10. TERMINATION

The Platform may terminate or suspend access at any time, with or without notice, for any reason, including legal or compliance risk.

Upon termination, all licenses granted to you shall immediately cease.

11. GOVERNING LAW AND JURISDICTION

These Terms shall be governed by and construed in accordance with the laws of [Jurisdiction Placeholder], without regard to conflict-of-law principles. Exclusive jurisdiction shall lie with the courts of [Venue Placeholder].
